Three developments frame the U.S. streaming business this Monday: streaming has climbed to 49% of all television viewing, federal regulators are taking a closer look at Fox’s proposed acquisition of Roku, and Paramount’s enormous Warner Bros. Discovery transaction remains caught between its strategic ambitions and an escalating antitrust fight.

Together, these stories underline a larger shift. Streaming is no longer simply competing with television. Increasingly, streaming is television — and regulators, advertisers and media companies are reorganizing around that reality.

Nielsen’s latest Gauge report, released September 10 and covering July viewing, shows that streaming accounted for 49.0% of total U.S. television usage.

YouTube alone reached a record 14.2% share of television viewing. At the media-company level, NBCUniversal-Versant reached 9.2% of TV viewing, helped by the FIFA World Cup and Peacock’s Love Island USA. Fox increased its share to 7.8%, posting the largest viewing gain among measured media distributors.

Overall television usage actually increased 2.2% from June to July despite the period normally producing a summer slowdown. Sports and streaming were important drivers of that increase.

The 49% figure is psychologically as important as it is statistically significant.

Only a few years ago, streaming was treated as an alternative distribution channel beside broadcast and cable. Today, virtually half of everything Americans watch on their television screens is delivered through streaming.

YouTube’s 14.2% figure also complicates the traditional “streaming wars” narrative. Netflix, Disney+, Prime Video and Peacock are not merely competing against one another. They are competing for television time against a platform built largely around creator-generated and short- or medium-form video.

This also helps explain why live sports has become so important to streamers. Sports remains one of the few categories capable of generating large audiences at a specific moment rather than simply accumulating on-demand viewing over time.

The DOJ is expected to issue a “second request” seeking additional documents and information from the companies — a sign that regulators intend to examine the transaction more closely rather than clearing it quickly.

Under the proposed transaction, Fox would combine its broadcast, sports and news assets with one of America’s most important connected-TV platforms.

If completed, Reuters reports that the combined operation would rank behind only YouTube and Disney in U.S. television viewing and ahead of Netflix.

Roku is not simply another streaming service.

It operates one of the major gateways into streaming television, through Roku devices, the Roku operating system, The Roku Channel and its advertising business.

Fox brings something very different to the combination: major sports rights, broadcast television, news and entertainment programming.

Putting those businesses together could give Fox much greater control over both content and distribution.

That is precisely why regulators are interested.

The streaming economy increasingly depends on companies controlling several layers simultaneously: programming, advertising technology, operating systems, viewer data and distribution.

Paramount Skydance’s proposed acquisition of Warner Bros. Discovery remains one of Hollywood’s largest unresolved business stories.

The transaction values Warner Bros. Discovery at an enterprise value of roughly $110 billion and would combine Paramount, CBS, Paramount+, Warner Bros., HBO, HBO Max and enormous libraries of film and television IP.

Although the U.S. Justice Department cleared the proposed acquisition in June, a coalition led by California, together with the Writers Guild of America, continues pursuing legal challenges seeking to block it.

The latest dispute involves Paramount’s request for a $1.88 billion bond from the challengers. Paramount argues that delays to the transaction could create enormous financial costs if the company ultimately wins the litigation.

A hearing on that issue is scheduled for September 24.

The calendar matters because the merger agreement specifies that if the transaction has not closed by September 30, 2026, Warner Bros. Discovery shareholders begin receiving a $0.25-per-share quarterly “ticking fee,” calculated daily.

A combined Paramount-Warner operation would control brands and franchises ranging from HBO, DC and Harry Potter to Mission: Impossible, Top Gun and SpongeBob SquarePants.

Paramount says the merger would allow the combined company to strengthen its direct-to-consumer operation and compete more effectively against large global streaming platforms.

Opponents argue that concentrating so much television, film and streaming power in one company could reduce competition and potentially weaken leverage for workers and creators.

Both perspectives reflect the same underlying reality: scale increasingly determines competitive power in streaming.
